The important points of the draft villa management cooperation agreement in Bali that the author (I Putu Agus Putra Sumardana & Partners Law Office) wants to share Rental Program Service and Usage Days. The Client will be generally entitled to occupy the Villa for 30 (thirty) days per calendar year ("Usage Days") subject to availability and the further conditions stipulated under this clause.

The Manager acknowledges that the Client or its immediate family members are entitled to occupy the Villa that he/she owns a complimentary free stay basis subject to the terms and conditions hereunder. The Client is obliged to explain and make sure that his/her authorized guests adhere the terms and conditions of this Agreement.

For the avoidance of doubt, complimentary free stay does not include cost for any food and beverage consumed by the Client or its authorized guests during his/her stay, which must be cleared and paid upon checkout. Booking and utilisation of Usage Days are regulated as follows:

  1. Any utilization of the Client’s Usage Days is subject to confirm availability and prior booking at least 30 (thirty) days in advance.
  2. By considered for the possibility of greater revenue of Rental Program Services during the peak season, The Manager has set blackout dates of the year where The Client will not be able to use their usage days:
    1. 20 Dec to 5 Jan
    2. 5 days before and 5 days after Chinese New Year
    3. 5 days before and 5 days after Easter
    4. 1st – 31st July
    5. 1st – 31st August
  3. The Manager shall use its best endeavours to assign the Villa to the respective Client for use but reserves its right to allocate an alternative and similar Villa to the Client.
  4. If the Client fail to arrive/check-in to utilise its booking days, then the respective portion of the Client’s Usage Days shall be forfeited and deemed as being used and the Client shall not receive any revenue share for such unused days.
  5. The Client has the right to fully transfer any or all of his/her Usage Days to immediate family members provided always that any bookings of the Villa and of the Client’s Usage Days are made through and by the Client and through the Manager.
  6. In the event the Client wishes to occupy the Villa for nights in excess of the Client’s Usage Days, the Client, subject always to the availability of the Villa or a similar unit, will pay to the Manager, by way of yield deduction, the rate is equal to the published room rate less a 20% discounted rate as set by the Manager at its discretion for each night in excess of the Client’s Usage Days. Any preferred rates hereunder as well as other benefits granted to the Client at the discretion of the Manager shall be published by the Manager in advance for each year.
  7. For any night of use of the Usage Days, the Client shall not receive any revenue for the Client’s Return.
  8. Any unused of the Client’s Usage Days at 31 December cannot be carried forward into the subsequent year or years.
  9. The Manager is entitled to deduct or compensate the Client’s Return for:
    1. any unpaid cost incurred by the Client or the Client’s authorized guests/family during a stay the Villa.
    2. any breakage, damage, or loss for any FF&E or facilities in the Villa or Estate.
