LAW OFFICE SERVICE COOPERATION AGREEMENT

We hereby mutually reach a consensus to enter into a LAW OFFICE SERVICES COOPERATION agreement, with the following conditions: ----------------------------------- --------

1. Whereas the FIRST PARTY as the capital owner/investor gives full trust/power to the SECOND PARTY to manage and run the Law Office/Lawyer's Office/Law Firm including everything related to the interests of the Law Office/Lawyer's Office/Law Firm mentioned above;------------------------------------------------------------------------------------
2. That the FIRST PARTY is obligated to provide the office building and the furniture in it such as computers/laptops, printers, work desks, coffee tables, sofas and chairs, air conditioners, TVs, refrigerators, and several other accessories;-------------------------------
3. Whereas the FIRST PARTY is obliged to pay office operational costs such as employee salaries, office lawyer/lawyer salaries, electricity, water fees, contributions related to office existence/interests; ---------------------------------------------------------------------------
4. Whereas the FIRST PARTY is obliged to provide money every month for office operations as referred to in point 3 with a value of Rp. 20,000,000.- (twenty million rupiah); -------------------------------------------------------------------------------------------------
5. Whereas the SECOND PARTY accepts the work referred to in point 1 (one) from the FIRST PARTY as mentioned above which will be carried out in earnest and as well as possible in accordance with the applicable Legal Basis; ---------------------------------------
6. Whereas the SECOND PARTY is obliged to take care of office employees and lawyers/office lawyers both for their daily needs and salaries, along with taking care of all other office operations (including taking care of office permits/letters/deeds); --------
7. Whereas the FIRST PARTY hereby guarantees that it is not bound by a case handling contract with another party (another Advocate/Lawyer); ---------------------------------------
8. Whereas the client brought by the FIRST PARTY to the office will automatically become the obligation of the SECOND PARTY to take care of the case until it is finished, with the value of the cost of handling the client's case being requested later;----------------------
9. Whereas the value of office profit sharing is 80% for the FIRST PARTY and 20% for the SECOND PARTY; -----------------------------------------------------------------------------------
10. Whereas the FIRST PARTY without the consent of the SECOND PARTY cannot immediately terminate the LAW OFFICE COOPERATION SERVICES agreement with the SECOND PARTY without the permission of the SECOND PARTY; -------------------
11. Whereas for all the legal consequences of this LEGAL SERVICES Agreement, both parties choose a legal residence / domicile at the Denpasar District Court Registrar's Office; --------------------------------------------------------------------------------------------------
12. Whereas things that have not been regulated and matters of amendment or addition to provisions, can only be made with the agreement of both parties; ----------------------------
13. That if there is a dispute of opinion between the two parties in this LAW OFFICE SERVICE COOPERATION agreement, it will be resolved first by deliberation as best as possible on the basis of amicability. ---------------------------------------------------------------
